Blockpour API Beta Launch Program Agreement

Welcome to Blockpour’s API Launch Program (the “Program”). By agreeing to these terms, you
are participating as a tester and contributor in our Program, you will have full and unfettered
access to all of our API endpoints free of charge through February 28, 2023.
Once the free period ends on February 28th, you will receive access to the following discounts
that will remain valid for any subscription entered into until the end of March 2023:

  • An exclusive 50% discount off your subscription plan rate for an annual subscription
    including a 50% discount on overages for the first six months; or
  • An exclusive 25% discount on a month-to-month subscription plan (discount is valid for
    12 consecutive months.

API Launch Program Terms
Blockpour is beta testing a new service wherein Blockpour will provide access to one or more
application programming interfaces (“APIs”) to third-party application or integration developers
(“Developers”), for the limited purpose of using the APIs to build a software application,
functionality, website, product or service that will connect to or integrate with Blockpour’s
Services, or embed certain Blockpour functionality into the third party platform or service
(collectively, “Integrations”) for the benefit of Blockpour users for acceptable uses (as per our
Terms of Service). We are calling this the API Beta Launch Program (the “Program”).

These Program Terms and Conditions (“API Beta Terms”) are entered into by and between
Blockpour Pte. Ltd (“Blockpour”) and the entity or person agreeing to these terms by
participating in the Program and are effective on the date agreed upon first access to the
Program. These API Beta Terms are entered into, subject to, and incorporated by this reference
Blockpour’s Terms of Service as may be amended from time to time (collectively, the
“Agreement”). To the extent these API Beta Terms conflict with the Blockpour’s Terms of
Service, these API Beta Terms shall govern.

If you are accessing the Program on behalf of your company, you represent that you are
authorized to accept this Agreement on behalf of your company, and all references to “you”
reference your company.

You are agreeing to participate in the Program as a Developer. Your participation is completely
voluntary. We are not forming a partnership, joint venture, agency, or employment relationship
with you, just by virtue of you participating in the Program. If you choose to participate, you may
be exposed to concepts, designs, prototypes, limited-release or pre-release versions of
software, and other similar materials or information.

You may also be asked to provide feedback or other information about your experience using the features or functionality being tested. All of the information and materials we share with you during the Program, and all of the conversations you have with us about the Program, are Blockpour property and considered
Blockpour Confidential Information, subject to the ownership and confidentiality protections and
restrictions set forth below.

Blockpour is under no obligation to provide you with any service level agreement, maintenance,
technical, or other service or support for the Program. We are under no obligation to generally
release the feature of functionality subject to the Program. If we choose to do a general release,
it may be different from what you experience during the Program. You will not receive any
payments or compensation of any kind for your participation in our Program, other than the
following discount on subscription services if the subscription is entered into prior to March 31,
2023:

  • An exclusive 50% discount off your subscription plan rate for an annual subscription
  • including a 50% discount on overages for the first six months; or
  • An exclusive 25% discount on a month-to-month subscription plan (discount is valid for
  • 12 consecutive months.

Blockpour owns and retains all rights in the APIs and all related documentation, Sites, and
software development kits. You gain no independent rights to the APIs, or to any content,
personal information, or any other data, content or information to which you may have access
simply by virtue of using our APIs (collectively “Data”). You agree that you will not circumvent,
disable or otherwise interfere with security-related features of the APIs or any features that
prevent or restrict use or copying or enforce limitations on use of the APIs. You further agree not
to access the APIs by any means other than through those that we provide to you. You will not
attempt to: (a) reverse engineer our Services through the APIs; (b) scrape, mine, or otherwise
extract or copy any Data other than as we have expressly authorized through the API’s; or (c)
resell, lease, or otherwise provide any third party with access to the Services.

“Confidential Information,” means any written, machine-reproducible and/or visual materials that
are clearly labeled as proprietary, confidential, or with words of similar meaning, and all
information that is orally or visually disclosed, if not so marked, if it is identified as proprietary or
confidential at the time of its disclosure or in a writing provided within thirty (30) days after
disclosure, and any information of any nature described in this Agreement as confidential, or
that the receiving party should reasonably understand to be confidential. Blockpour Confidential
Information includes, without limitation, the software for the Services whether in source or
executable code, software documentation, nonpublic financial information, pricing, business
plans, techniques, methods, processes, and the results of any performance tests of the
Services. “Confidential Information” does not include information that: (1) is or becomes publicly
known through no act or omission of the receiving party; (2) was in the receiving party’s lawful
possession prior to the disclosure; (3) is rightfully disclosed to the receiving party by a third party
without restriction on disclosure; or (4) is independently developed by the receiving party without
reference to other party’s Confidential Information, which independent development can be
shown by written evidence. For as long as this Agreement is in effect, and for a period of five (5)
years after expiration or termination of this Agreement, neither party may make the other’s
Confidential Information available to any third party or use the other’s Confidential Information
for any purposes other than exercising its rights and performing its obligations under this
Agreement. Each party will take all reasonable steps to ensure that the other’s Confidential
Information is not disclosed or distributed by its employees or agents in violation of the terms of
this Agreement, but in no event will either party use less effort to protect the Confidential
Information of the other party than it uses to protect its own Confidential Information of like
importance. Each party will ensure that any agents or subcontractors that are permitted to
access any of the other’s Confidential Information are legally bound to comply with the
obligations set forth herein. Notwithstanding the foregoing, Confidential Information may be
disclosed as required by any governmental agency, provided that before disclosing such
information the disclosing party must provide the non-disclosing party with sufficient advance
notice of the agency’s request for the information to enable the non-disclosing party to exercise
any rights it may have to challenge or limit the agency’s authority to receive such Confidential
Information.

THE API BETA PROGRAM IS STILL UNDER DEVELOPMENT AND MAY BE LIKELY TO
CONTAIN MORE ERRORS, BUGS, OR INCONSISTENCIES THAN GENERALLY AVAILABLE
PRODUCTS AND SERVICES. WE MAKE NO PROMISES THAT THE PROGRAM WILL EVER
BE MADE GENERALLY AVAILABLE, OR ON THE SAME TERMS AND CONDITIONS AS IN
THE API BETA PROGRAM. WE MAY TERMINATE THE API BETA PROGRAM, OR YOUR
PARTICIPATION IN THE API BETA PROGRAM AND/OR ACCESS TO THE BLOCKPOUR
APIS, AT ANY TIME AND FOR ANY REASON IN OUR SOLE DISCRETION.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL
OBLIGATIONS AND LIABILITIES WITH RESPECT TO THE API BETA PROGRAM,
INCLUDING ANY SUPPORT, WARRANTY, AND INDEMNITY OBLIGATIONS, WHETHER OR
NOT SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND
WHETHER ANY CLAIM FOR RECOVERY IS BASED ON THEORIES OF CONTRACT,
WARRANTY, TORT (INCLUDING NEGLIGENCE AND STRICT LIABILITY), OR OTHERWISE.
